1. Who these terms apply to

These terms apply when you use sumiro.studio, submit a project request, request a proposal, or work with Sumiro Studio.

If a signed agreement conflicts with these terms, the signed agreement controls for that project.

2. What Sumiro Studio provides

Sumiro Studio provides conceptual design, strategy, brand, interface, pitch, fundraising, launch and software sprint work for early-stage companies.

Exact deliverables, timelines, fees and responsibilities are defined in the written proposal or statement of work for each project.

3. Project scope

A project starts only when both sides accept the written scope, timeline and commercial terms.

Work outside the approved scope may require a new estimate, updated timeline, or separate agreement.

4. Client responsibilities

You are responsible for giving accurate project context, access, feedback, approvals and legal rights to any material you share with us.

Delays in feedback, access, payments, or approvals may move delivery dates.

5. Fees and payment

Fees, deposits, payment dates, currencies and taxes are listed in the relevant proposal or invoice.

Unless agreed otherwise in writing, invoices are due on receipt and paid work begins after the required deposit or first payment is received.

6. Intellectual property

You keep ownership of materials you bring to the project.

After full payment, you receive ownership of final approved deliverables created specifically for your project, unless the proposal says otherwise.

Sumiro Studio keeps ownership of pre-existing tools, templates, systems, methods, internal processes, reusable components and know-how.

7. Portfolio use

Unless a signed agreement says otherwise, Sumiro Studio may reference completed public work in its portfolio, case studies, social channels and pitch material.

Confidential, unreleased, or private material will not be published without permission.

8. Confidentiality

Both sides should protect non-public information shared during a project and use it only for the project.

Confidentiality does not cover information that is public, already known, independently developed, or required to be disclosed by law.

9. Third-party services

Projects may involve third-party services such as hosting, analytics, email, AI, design tools, code repositories, payment processors, or blockchain infrastructure.

Those services have their own terms, security models and availability. Sumiro Studio is not responsible for third-party outages, policy changes or account decisions.

10. No guaranteed outcome

Sumiro Studio works to create better strategy, design, product proof, fundraising material and launch assets.

We do not guarantee investment, revenue, token performance, platform approval, press coverage, user growth, or any specific business result.

11. Liability

To the fullest extent allowed by law, Sumiro Studio is not liable for indirect, incidental, special, consequential, or punitive damages.

If liability cannot be excluded, the total liability is limited to the amount paid to Sumiro Studio for the affected project during the three months before the claim.
